We are looking for a legal Governance Associate to join our client's dynamic team. The selected candidate will play a critical role in ensuring that the company adheres to all legal and regulatory requirements related to corporate governance. S/he will collaborate with various departments to develop and implement policies and procedures that promote transparency, accountability, and compliance with applicable laws and regulations. The Legal Governance Associate will sit as the Company Secretary for all Group Subsidiary and Affiliated Companies and will be reporting to the Chief Legal Officer.

DUTIES AND RESPONSIBILITIES
Develop, implement, and maintain corporate governance policies and procedures in accordance with relevant laws, regulations, and best practices.
Monitor and analyse changes in corporate governance laws and regulations, and advise senior management on potential impacts on the company.
Coordinate with internal and external auditors to ensure compliance with audit requirements and facilitate the resolution of any audit findings related to corporate governance.
Provide guidance and training to employees on corporate governance matters, including ethics, conflicts of interest, and whistleblower policies.
Serve as a liaison between the company and regulatory agencies, ensuring timely and accurate responses to inquiries and requests for information.
Assist with the organization and management of board meetings, including the preparation of meeting agendas, materials, and minutes.
Collaborate with the legal department on corporate transactions, including mergers, acquisitions, and corporate restructuring, to ensure compliance with corporate governance requirements.
Conduct periodic reviews and assessments of the company's corporate governance practices and recommend improvements as needed.
Maintain accurate records and documentation related to corporate governance activities.
EXPERIENCE, KNOWLEDGE AND SKILLS
Minimum of two years of experience in corporate governance, legal compliance, or a related field.
Strong understanding of corporate governance principles, regulations, and best practices.
Proficiency in Microsoft Office Suite and other relevant software applications.
Excellent analytical, problem-solving, and decision-making skills.
Exceptional attention to detail and organizational abilities.
Excellent written and verbal communication skills, with the ability to effectively communicate complex legal concepts to diverse audiences.
Ability to work independently and collaboratively in a fast-paced environment.
Ability to maintain confidentiality and handle sensitive information with discretion.
EDUCATION
Bachelor's degree in law, business administration, or a related field; JD or advanced degree preferred.
Candidates currently enrolled in the Bachelor of Laws, or Master in Advocacy will also be considered provided that they are keen to learn and contain good organisational skills.
Professional certification in corporate governance or compliance (e.g., CGOCP, CCEP) is a plus.
WORKING TIME
Monday to Friday from 8:30 till 17:00 with 30 minutes break.
