Our client, a reputable Corporate Services Provider in Malta, is looking to recruit a Senior Corporate Administrator.

The successful candidate will join the Corporate & Trust team and be responsible for managing a diverse portfolio of Maltese and international client structures, including companies, trusts, partnerships, and special-purpose entities. The role offers exposure to multiple jurisdictions, including Malta, Bermuda, and the British Virgin Islands, and is ideal for an experienced corporate services professional seeking a senior position with client-facing responsibilities and team leadership opportunities.

The Senior Corporate Administrator will work closely with management, supervise junior team members, attend client meetings, and ensure that all assigned entities remain fully compliant with statutory, regulatory, and corporate governance requirements.

 

Responsibilities:

  • Manage a portfolio of companies, trusts, partnerships and special-purpose entities incorporated in Malta, Bermuda, the BVI and other jurisdictions as required.
  • Prepare and file statutory and regulatory documentation, including annual returns, changes in officers, share transfers, corporate amendments and other corporate actions.
  • Draft and review board resolutions, shareholder resolutions, meeting agendas, notices and corporate minutes.
  • Coordinate, attend and minute board and shareholder meetings, ensuring timely follow-up on action points.
  • Maintain statutory registers and corporate records, ensuring accuracy, completeness and compliance at all times.
  • Support the incorporation, re-domiciliation, restructuring and dissolution of corporate entities.
  • Ensure compliance with the Maltese Companies Act and equivalent legislation across Bermuda, BVI and other relevant jurisdictions.
  • Handle statutory and regulatory filings with the Malta Business Registry, Bermuda Monetary Authority, BVI Financial Services Commission and other regulatory bodies.
  • Conduct and review KYC and AML due diligence processes in collaboration with compliance teams.
  • Liaise with banks, auditors, legal advisors, regulators and other external service providers.
  • Act as the primary point of contact for clients, providing timely and professional support on corporate and governance matters.
  • Build and maintain strong client relationships through proactive communication and a high standard of service delivery.
  • Supervise and support one or more Corporate Administrators, ensuring effective workload allocation and team performance.
  • Provide training, mentoring and ongoing guidance to junior team members.
  • Review work prepared by junior staff to ensure compliance with internal procedures and quality standards.
  • Act as an escalation point for more complex corporate administration matters.
  • Assist management with corporate service improvements, operational initiatives and process enhancements.
  • Maintain accurate filing systems in line with internal policies and data protection requirements.
  • Participate in internal client reviews and compliance-related exercises.
  • Support billing processes, fee estimates, time recording and related administrative functions.

Requirements:

  • Minimum of 3 to 5 years’ experience within corporate administration, company secretarial services or a corporate services environment.
  • Strong understanding of company law and corporate governance principles, particularly within Malta and common law jurisdictions such as Bermuda and the BVI.
  • Experience attending and taking minutes during board and shareholder meetings.
  • Previous experience supervising, mentoring or training junior team members.
  • Knowledge of statutory and regulatory filing requirements across relevant jurisdictions.
  • Good understanding of AML/KYC requirements and corporate compliance obligations.
  • Excellent written and verbal communication skills in English.
  • Strong organisational skills with the ability to manage multiple priorities and deadlines.
  • High attention to detail and commitment to delivering accurate work.
  • Proficiency in Microsoft Office applications.
  • A professional qualification such as CGI/ICSA, STEP, ACCA or a relevant legal or business qualification will be considered an asset.
  • Experience within financial services, trust and corporate services, or fund administration environments will be considered advantageous.
