Senior Corporate Administrator

AIMS International Malta is assisting our client, a Corporate Services provider, with recruiting a Senior Corporate Administrator. This role will be based in Bermuda and offers an exciting opportunity to manage an international portfolio of client entities while supporting corporate governance, regulatory compliance, client relationship management, and team development initiatives. Recruitment and training will be done in Malta.

Responsibilities:

• Manage a portfolio of companies, trusts, partnerships, and special-purpose entities across Bermuda and other jurisdictions.
• Prepare and file statutory documents, including annual returns, amendments, director and officer appointments and removals, share transfers, and other corporate changes.
• Draft and review board and shareholder resolutions, minutes, notices, and meeting agendas.
• Coordinate and attend client meetings, prepare accurate minutes, and follow up on action items.
• Maintain statutory registers and ensure corporate records are accurate, up to date, and compliant.
• Support the formation, re-domiciliation, restructuring, and dissolution of client entities.
• Ensure entities remain compliant with applicable legislation and regulatory requirements.
• Handle regulatory and statutory filings with the Bermuda Monetary Authority, Registrar of Companies, and other relevant authorities.
• Conduct and review KYC and AML due diligence on client structures, coordinating with compliance teams where required.
• Liaise with banks, auditors, legal counsel, regulators, and external service providers.
• Supervise Corporate Administrator(s) and oversee day-to-day workload allocation.
• Provide training, guidance, and mentoring to junior team members.
• Review the work of junior staff to ensure accuracy, quality, and compliance with internal procedures.
• Act as a point of escalation for complex matters before involving senior management.
• Serve as a key point of contact for clients, responding to corporate and governance queries in a professional and timely manner.
• Build and maintain strong client relationships through proactive communication and excellent service delivery.
• Maintain filing systems in accordance with internal policies and data protection requirements.
• Conduct internal client reviews and assist with improvements to corporate services processes.
• Support the preparation and review of billing, fee estimates, and time recording.

Requirements:

• Minimum 3–5 years’ experience in corporate administration, company secretarial work, or corporate services.
• Strong understanding of company law and familiarity with common law jurisdictions, including Bermuda, BVI, Malta, or similar jurisdictions.
• Experience attending and taking minutes for board and shareholder meetings.
• Previous experience supervising, mentoring, or training junior staff.
• Excellent written and verbal communication skills in English.
• Strong organisational skills with excellent attention to detail.
• Progress towards or completion of a professional qualification such as CGI/ICSA, STEP, ACCA, or a relevant legal or business qualification would be considered an asset.
• Experience within financial services, fund administration, or trust and corporate services environments is preferred.
• Working knowledge of AML, KYC, and regulatory compliance requirements.
• Strong leadership and mentoring abilities.

• Ability to prioritise tasks effectively and manage multiple deadlines.
• Strong analytical, problem-solving, and decision-making skills.
• Client-focused mindset with excellent interpersonal and relationship management skills.
• Proficiency in Microsoft Office and corporate administration software.
• Ability to work independently while contributing to a collaborative team environment.
