Duties and responsibilities

The Board Secretary serves as a crucial liaison within the Board of Directors, its committees and shareholders. The post reports to the Company Secretary and Chairperson of the Board, assists with various tasks and handle various responsibilities, including:

  • Drafting and circulating minutes for Board, committee and shareholder meetings;
  • Managing Board and committee calendars, agendas, action trackers, and meeting materials;
  • Handling documentation, record-keeping, and administrative tasks related to proper corporate governance; and
  • Ensure timing regulatory filings and preparing statutory reports and company announcements as needed.

Competencies and experience

The Board Secretary must:

  • Be able to prioritise, multi-task and work under pressure;
  • Be organised and meticulous in work, ensuring high quality of work at all times;
  • Be proficient with MS Office applications; and
  • Demonstrate excellent written and verbal communication skills in both English and Maltese.

Prior experience on matters related with the Market Abuse Regulations will be considered an asset.
