Overall purpose of the position:

Malta Government Investments Limited (MGI) is seeking a detail-oriented and motivated Manager in its Subsidiaries Unit, to manage the team responsible for overseeing the governance, performance, and strategic direction of MGI’s subsidiary companies and other entities in which MGI holds a significant interest. The Manager is expected to work closely with the Senior Manager of this unit to ensure operational efficiency, financial oversight, regulatory compliance, and alignment of the respective subsidiary goals with the parent organization’s goals. The ideal candidate will have a strong background in corporate governance, financial management, management advisory services and stakeholder engagement.

This is a management position, and the selected candidate is expected to be flexible and to contribute their time according to work requirements and work in a dynamic environment to deliver value and drive growth.

 

Main job duties:

• Together with the Senior Manager Subsidiaries, lead, mentor, and motivate their team to achieve high performance, fostering a culture of accountability, collaboration, and continuous improvement.

• Represent by proxy MGI as shareholder in AGMs / EGMs of companies in which MGI holds a stake.

• Review the financial statements provided by the related entity prior to the AGM. 

• Ensure that the disclosure of information in the financial statements supports good governance, and to recommend amendments if need be.

• Communicate in writing and discuss key findings from the review of the financial statements with the Senior Manager, to ensure that major issues are properly addressed/clarified before or during the AGM.  

• Keep the Senior Manager of the Unit fully abreast at all stages of the process, especially in the event of material issues and concerns arising during the course of the work. This may include any material reporting issues or issues with the auditors’ report.

• Communicate material errors or inconsistencies, if any, identified during the analysis of the financial statements, to the senior management of the subsidiary. Propose amendments to the financial statements, if deemed necessary.

• Draw up a Note for record following the AGM / EGM for the onward transmission to the Senior Manager.

• Follow-up matters identified in the Note for Record and agreed with the subsidiary’s management team during the AGM.

• Assist the Senior Manager in the comprehensive exercise to review the Memorandum and Articles of Association of all Companies in which MGI is a shareholder with at least 20% of the issued share capital, to ensure good corporate governance is upheld.

• Seek, if need be, legal advice in the review of the Memorandum and Articles of Association.

• Access the MBR database to access relevant company information and ensure that the details are indeed updated.

• As per schedule agreed with the Senior Manager, participate in periodic meetings with the senior management teams of subsidiary companies and other companies in which MGI holds an active interest, to discuss the entity’s financial position and any material strategic and operational issues or matters of concern which need to be brought to the attention of the management of the parent company.

• Provide assistance and advice to subsidiary and associated companies, especially in the monitoring of any major planned projects to be accordingly implemented.

• Review and analyse management accounts of subsidiary and associated companies on a periodic basis.

• Ensure that major findings and recommendations in NAO reports on subsidiary companies are discussed with the subsidiary’s senior management team to ensure that applicable remedial actions are in place.

• Follow up material points raised by the statutory auditors in their management letter of the respective entities and follow-up the implementation of agreed recommendations with the senior management teams.

• Review and endorse relevant reports as may be required.

• Prepare work schedules with the Senior Manager for team members and review performance on a regular basis against set objectives.

• Undertake and execute any other related tasks assigned by the management of the Company.

 

Requirements

  • Experience in corporate governance processes, advisory services, audit or compliance will be considered an asset.
  • Strong leadership, communication and interpersonal skills.
  • Excellent organizational skills with great attention to detail and the ability to multitask.
  • A people-oriented individual who thrives in social environments.
  • Prior experience in the public service/sector is considered an advantage.
  • Experience in Government policies and procedures, with particular reference to financial reporting, will be considered an asset.
  • Able to guide and assist other team members in their work and participate in the identification of their training needs.
  • Keep abreast with accounting standards, financial legislation, financial policies, applicable government policies and procedures, and following training as directed.

Education and Experience

  • MQF level 6 qualification or higher in Accountancy; plus three (3) years relevant experience in a similar position, preferably within the public sector/service;
  • Must be a warranted accountant or in the process of obtaining the warrant.
